Terms of Service

1. Agreement and eligibility

These Terms of Service form an agreement between you and Momentum AI for your use of Momentum AI Essentials (the "Service"). By creating an account, activating complimentary access, purchasing a subscription, or using the Service, you agree to these Terms and our Privacy Policy.

You must be at least 18 years old and legally able to enter into this agreement. If you use the Service for an employer or organization, you represent that you are authorized to do so and remain responsible for your account.

2. The Service

Momentum AI Essentials is an evolving AI learning and implementation membership. It may include prompts, templates, playbooks, educational materials, live events, support, Community answers, AI generators, and other resources. We may add, update, reorganize, or retire features and content as AI tools and member needs change.

Membership provides access to the Service during an active paid or complimentary term. It does not promise a particular business result, uninterrupted availability, or permanent availability of any individual resource or third-party tool.

3. Accounts and security

You agree to provide accurate account information, keep it current, protect your password, and promptly notify us of suspected unauthorized use. You are responsible for activity through your account. Do not sell, transfer, or broadly share account credentials or use one account to bypass applicable access limits.

4. Paid subscriptions, renewal, and cancellation

The regular Momentum AI Essentials membership costs $59 for the first year. Unless you cancel before renewal, it automatically renews at $25 per year after the first year, plus any applicable taxes. Stripe processes payment and displays the charge before you complete checkout.

You authorize recurring annual charges until cancellation. You can cancel at any time from the Stripe billing portal linked on the Account page. Cancellation stops the next renewal; access continues through the end of the already-paid term.

Except where required by law, payments are nonrefundable and we do not provide prorated refunds for unused time. If we change renewal pricing, the change will apply prospectively and we will provide notice before it takes effect as required by law.

5. Complimentary and promotional access

Complimentary, beta, partner, or promotional access may have a stated expiration date, redemption deadline, capacity limit, or additional eligibility requirement. Unless payment information is separately provided and a paid subscription is clearly authorized, complimentary access does not automatically convert into a paid subscription. We may withdraw access obtained through an invalid, transferred, or misused code.

6. Acceptable use

You may not use the Service to:

• Break the law, violate another person's rights, or create deceptive, harmful, or abusive material.
• Upload malicious code, interfere with security, evade access controls, or place unreasonable load on the Service.
• Probe, reverse engineer, scrape, or systematically extract the Service except where law expressly permits it.
• Resell, sublicense, republish, or make the member library or account available as a competing product.
• Submit information you do not have the right or permission to use.

7. AI features and professional judgment

AI can produce incomplete, inaccurate, outdated, or inappropriate results. You are responsible for reviewing, verifying, editing, and deciding whether to use any prompt, recommendation, template, analysis, or generated result. Keep a qualified person responsible for factual, financial, legal, employment, privacy, safety, and other consequential decisions.

The Service provides education and practical guidance, not legal, medical, accounting, tax, financial, cybersecurity, human-resources, or other licensed professional advice. Do not rely on it as a substitute for a qualified adviser.

8. Your information and AI inputs

You retain responsibility for information you submit. As explained in the Privacy Policy, Momentum AI Essentials does not save, review, or reuse the inputs or results from its AI generators. Inputs are sent to OpenAI to generate the requested result and are subject to OpenAI's applicable business and API policies. Community questions and support messages are intentionally saved so we can respond.

Do not submit passwords, payment information, protected health information, confidential client or employee data, trade secrets, or information you are not authorized to disclose.

9. Ownership and permitted use

Momentum AI and its licensors own the Service, branding, software, member library, original playbooks, curated prompt collections, and related materials. During an active membership, we grant you a limited, nonexclusive, nontransferable license to access and use those materials for your own personal, professional, or internal organizational work.

You may adapt templates and use generated results in your work. Momentum AI does not claim ownership of the original information you enter or the unique results created for you, to the extent ownership is recognized by applicable law and subject to third-party rights. You may not reproduce or distribute substantial portions of the membership library itself.

10. Third-party services and links

The Service relies on or links to third parties including Stripe, OpenAI, Render, email providers, and external AI tools. We do not control independent third-party services and are not responsible for their availability, terms, outputs, or privacy practices. Your use of them may be governed by separate terms.

11. Availability, support, and changes

We work to keep Momentum AI Essentials useful and available, but maintenance, outages, provider failures, power or network events, and rapid changes to third-party AI products may interrupt or alter the Service. Support is offered through the channels shown in the member area, without a guaranteed response time unless we agree otherwise in writing.

12. Suspension and termination

We may suspend or terminate access for nonpayment, misuse, material violation of these Terms, security risk, or legal necessity. You may stop using the Service at any time, but deleting an account or stopping use does not by itself cancel a Stripe subscription. Use the billing portal or contact support for help canceling.

13. Disclaimers

To the fullest extent permitted by law, the Service and all content are provided "as is" and "as available." Momentum AI disclaims implied warranties, including merchantability, fitness for a particular purpose, title, and noninfringement. We do not warrant that the Service or AI-generated material will be error-free, secure, complete, or suitable for a particular decision.

14. Limitation of liability

To the fullest extent permitted by law, Momentum AI and its personnel will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, opportunity, goodwill, or data arising from the Service. Our total liability for claims relating to the Service will not exceed the amount you paid for Momentum AI Essentials during the 12 months before the event giving rise to the claim.

Some jurisdictions do not allow certain exclusions or limitations, so parts of this section may not apply to you. Nothing in these Terms limits rights or liability that cannot lawfully be limited.

15. Governing law

These Terms are governed by the laws of the State of New York and applicable United States federal law, without regard to conflict-of-law rules. Unless applicable law requires otherwise, disputes will be brought in the state or federal courts serving Buffalo, New York, and each party consents to that jurisdiction and venue.

16. Changes, severability, and contact

We may update these Terms as the Service or legal requirements change. The effective date above identifies the current version. We will provide additional notice of material changes when appropriate. If any provision is unenforceable, the remaining provisions remain in effect. These Terms and the Privacy Policy are the entire agreement for the standard online Momentum AI Essentials membership unless a separate written agreement applies.
